Terms and Conditions for WhaleSocial Digital Marketing Agency

  1. Introduction
    These Terms and Conditions (“Terms”) govern the use of the digital marketing services provided by WhaleSocial (“Company,” “We,” “Us,” “Our”), a digital marketing agency based in California, USA. By engaging with our services, you (“Client,” “You,” “Your”) agree to comply with these Terms. Please read them carefully before proceeding.
  2. Scope of Services
    WhaleSocial offers a range of digital marketing services, including but not limited to:
    • Social media managementSearch engine optimization (SEO)Pay-per-click (PPC) advertisingContent creationWeb design and developmentEmail marketingAnalytics and reporting
    The specific services to be provided will be outlined in a separate proposal or service agreement.
  3. Payment Terms
    • Payments must be made upon invoice receipt unless otherwise agreed.
    • WhaleSocial reserves the right to pause or terminate services if payment is not received as agreed.
    • All fees for services provided by WhaleSocial are non-refundable once the invoice has been paid and work has commenced. By making a payment, the Client acknowledges that they have reviewed and approved the scope of work and agree to this non-refundable policy. No refunds will be issued after services have begun, including any prepaid amounts for future work.
  4. Client Responsibilities
    • The Client agrees to provide WhaleSocial with all necessary information, materials, and access required to perform the services efficiently and effectively.
    • The Client is responsible for the accuracy, legality, and appropriateness of any content or materials provided to WhaleSocial for use in digital marketing campaigns.
    • The Client agrees to adhere to any applicable laws and regulations concerning their business and industry.
  5. Confidentiality
    • Both parties agree to maintain the confidentiality of all proprietary information shared during the course of the service.
    • Any confidential information provided by the Client to WhaleSocial will be used solely for the purpose of delivering the contracted services.
    • WhaleSocial guarantees that the Client’s content will not be disclosed, sold, or used for any purpose other than completing the agreed-upon work, except where required by law.
    • All third-party contractors engaged by WhaleSocial in connection with the services are bound by confidentiality agreements to ensure the protection of the Client’s confidential information.
  6. Intellectual Property
    • All intellectual property created by WhaleSocial, including but not limited to content, designs, strategies, and campaigns, shall remain the property of WhaleSocial until full payment is received.
    • Upon full payment, ownership of such intellectual property will transfer to the Client, unless otherwise specified in the agreement.
  7. Termination
    • Either party may terminate the service agreement with 30 days’ written notice.
    • In the event of termination, the Client will be responsible for payment of all services rendered up to the termination date.
    • WhaleSocial reserves the right to terminate services immediately if the Client violates any of the terms outlined in this document.
  8. Limitation of Liability
    • WhaleSocial is not liable for any indirect, incidental, or consequential damages arising out of the use of our services.
    • WhaleSocial makes no guarantees regarding the results of digital marketing campaigns, as success depends on numerous factors outside our control, including market conditions and algorithm changes.
  9. Indemnification
    The Client agrees to indemnify and hold WhaleSocial harmless from any claims, liabilities, losses, or damages arising from the Client’s use of our services or any breach of these Terms.
  10. Governing Law
    These Terms are governed by the laws of the state of California. Any disputes arising from these Terms or the services provided by WhaleSocial will be subject to the jurisdiction of the courts in California.
  11. Changes to Terms
    WhaleSocial reserves the right to modify these Terms at any time. Continued use of our services after such changes constitutes acceptance of the revised Terms.
